Background

Mark Toh graduated with a LLB (Hons) from the National University of Singapore in 2013 and was called to the Singapore bar in 2014. He commenced practice in the corporate department of a medium-sized Singapore law firm before joining Engelin Teh Practice in late 2016.

Mark is familiar with a large range of corporate and commercial matters. While his practice forte is in mergers and acquisitions and general contract drafting, he also has substantial expertise in related niche areas, including employment law, personal data protection, and intellectual property. He is a registered qualified individual with ACRA and is the corporate secretary for various companies. He aims to provide his clients with quality legal services that meets their needs in a cost-effective manner.

Outside of work, Mark spends a large portion his time mentoring youth from his church. He frequently works with para-church organisations and charities on youth programs or on legal clinics. He also enjoys tasting and appreciating good whisky, and reading good fantasy novels – ideally doing both at the same time

Representative Experience:

Corporate and Transactional matters:

  • Representing and advising a company listed on the SGX Mainboard in a hotly contested scheme of arrangement application.
  • Advising a company listed on the SGX Catalist on the purchase of a local subsidiary, conducting due diligence on the target company, negotiating with the shareholders, and drafting and review the sale and purchase agreement for such transaction.
  • Assisted the Singapore subsidiary company listed on the Hong Kong Stock Exchange to conduct due diligence further to the acquisition of a Singapore company.
  • Compliance work for a large insurance agent association and related businessesin preparation for the implementation of the Personal Data Protection Act, training of agents in relation to Personal Data Protection matters, and appointment as an external Data Protection Officer thereafter.
  • Drafting a suite of artiste and director agreements for a music album written, recorded, and released for 2015 SG50 celebrations.
  • Advising a foreign organisation in registering a branch in Singapore, and advising a Singapore society in registering an organisation in a foreign jurisdiction.
  • Assisting a company listed on the SGX with documentation in relation to the private placement of over 150 million shares.
  • Assisting a company listed on the SGX Catalist with the sale of a foreign subsidiary.
  • Assisting companies with the establishment of franchises in Singapore.
  • Advising companies on various transactional matters and preparing contractual documents in relation to such matters.

Employment matters

  • Reviewing, drafting, and amending employment contracts and employee handbooks for various companies.
  • Preparing the documents for the commencement of employee share option schemes and making necessary changes to the company’s constitution.
  • Advising the Singapore subsidiary of a Fortune 500 company and a large international hotel chain on employment matters in Singapore.
  • Advising a large Singapore charity on employment matters and updating their employment contracts.
  • Advising companies on their employment obligations and requirements under the Employment Act.
  • Advising various individuals on employment rights in Singapore
  • Assisting various companies to obtain employment passes for senior employees.

 

Corporate Secretarial matters

  • Acting as the company secretary and nominee director for companies incorporated in Singapore.
    Incorporation of various types of companies, including new business entities, joint ventures, charitable foundations, and religious organisations.
  • Undertaking corporate secretarial matters, compliance with various types of legislation, registering for and applying for licenses, responding to queries from regulatory authorities and writing representations to such authorities on their behalf.

Intellectual Property matters

  • Assisting various companies to file and register trademarks, including overcoming objections from the IPOS.
  • Assisting a statutory board with protecting and enforcing its intellectual property rights over a registered trademark against unauthorised users.

Family and Matrimonial matters:

  • Advising and assisting individuals going through divorce proceedings to achieve amicable divorce settlements.
  • Assisting clients in applying for and resisting personal protection orders.
  • Advising clients on matters under the Protection from Harassment Act.
  • Advising clients on and prepared deeds of separation for clients. 

Dispute Resolution matters:

  • Representing a man charged for staying outside Singapore without a valid exit permit in his mitigation plea at the first instance hearing. The case, upon appeal to the High Court, set the sentencing benchmark for Singaporeans charged under the Enlistment Act for choosing to defer national service obligations, and the weight accorded to various mitigating factors (PP v Chow Chian Yow, Brian Joseph [2015] SGDC 97 (first instance); [2016] SGHC 18 (appeal)).
  • Helping a large international company to amicably resolve a potential defamation / passing off dispute with another large company.
    Assisting the successful negotiation, mediation, and settlement of a claim for compensation following a widely-publicised fatal bus-pedestrian collision.
  • Acting for an injured race participant to claim compensation from the organisers of the race.
